Equity compensation planning
Planning for tech professionals after an equity windfall.
An IPO, a tender offer or years of RSUs can change your net worth in a few months. We help you decide what to sell, keep more of it after taxes, and turn it into a plan for the life you want.
Is this you?
- Your company just went public, and the lockup is ending soon.
- A tender offer landed in your inbox, and the window closes in a few weeks.
- Your RSUs have piled up, and one stock is now most of your net worth.
- You hold ISOs or NSOs and aren’t sure when to exercise, or what it will cost in tax.
- Your company was acquired, and the cash or new shares are arriving.
Most of our clients have $1.2 million or more invested, or are about to after an event like these.
The decisions we help you make
How much company stock to keep
A target for how much of your net worth stays in one company, a selling schedule you can stick to, and a Rule 10b5-1 plan if you’re subject to blackout windows.
How much tax you’ll owe
A projection before you act: RSU withholding gaps, the AMT you could owe when you exercise options, safe harbor payments, and which shares cost the least to sell.
Where the money goes
A diversified, tax-aware portfolio for the proceeds, with cash set aside for taxes and the goals that matter to you: a home, giving, or financial independence.
When work becomes optional
Your “enough” number, how close you are, and what each choice does to that date. Try our work-optional calculator for a first look.
How we think about selling: minimize regret
Nobody knows where your company’s stock is going. So instead of trying to call the top, we build a plan you won’t regret either way.
- Sell enough that a big drop wouldn’t change your plans: your home, your kids’ education, the date work becomes optional.
- Keep enough that a big run-up wouldn’t sting.
- Decide in advance. A written target and a selling schedule (or a 10b5-1 plan) take the emotion out of each sale, so you’re not deciding at the worst moment.
- Mind the taxes along the way, especially the AMT that exercising incentive stock options can trigger, so a smart sale doesn’t come with a surprise bill.
How it works
- A free Memento Snapshot. A 30-minute call, then a review of your equity, taxes, cash flow and investments, with the quick wins and the bigger decisions ahead.
- A plan for the event. If we work together, we map out the sales, the taxes and the timeline before your window opens.
- Ongoing planning. Equity events rarely end with one decision. We track vests, windows, tax deadlines and your concentration through the year, and adjust as your company and your life change.
Our fee is $12,000 a year for households with $1.2 million or more invested, and it doesn’t rise as your portfolio grows. It’s 1% of the assets we manage, set each December 1, with a $6,000 minimum and a $12,000 maximum. See Pricing for the details.

Common questions
When should I talk to a financial planner about an IPO?
Ideally a few months before the lockup ends, or as soon as you know an IPO is coming. Many of the best moves, like setting up a 10b5-1 plan, planning ISO exercises or making estimated tax payments, need lead time.
Can you help if my tender offer closes in a few weeks?
Yes. Book a Snapshot and mention the deadline. We’ll focus first on which shares to sell, how much, and what you’ll owe in tax.
Do I need to move my company stock to work with you?
No. Company stock usually stays where it is, in your equity plan account, and we plan around it. We manage the diversified portfolio built from what you sell.
Do you work with clients outside Massachusetts?
Yes. We work virtually with clients across the U.S.
